1. Agreement to Terms
By accessing or using Podcast Studio X services ("Services"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
If you do not agree to these Terms, do not use our Services.
2. Description of Services
Podcast Studio X provides comprehensive podcast production services including:
Launch Phase Services (4-6 weeks)
Podcast ideation and naming
Show description and SEO strategy development
Custom artwork design
Social media channel setup (if needed)
Equipment recommendations and technical evaluations
RSS feed and YouTube channel setup
Custom podcast website creation (included at no additional charge)
Intro motion graphics creation
Licensed music sourcing and licensing
Launch strategy development
Ongoing Production Services
Pre-Production:
Guest management and ideal guest list building
Guest booking and coordination
Scheduling coordination
Pre-show preparation including questions, prep documents, guest research, and interview notes
Production:
Complete audio/video production
Professional editing, mixing, and mastering
Sound and video optimization
Post-Production:
Human-edited transcripts for every episode
Professional show notes creation
Custom graphics and thumbnails
5-10 promotional clips per episode
Publishing & Syndication:
Distribution across podcast platforms with show notes and graphics
YouTube publishing with SEO optimization
Episode publishing to custom website with graphics, SEO, and transcripts
Show note link management
Promotion & Engagement:
Complete SEO package for YouTube, podcast apps, and website
YouTube Shorts publishing (5-10 clips per episode)
Guest notification when episodes go live
Bi-weekly strategy and feedback calls
Add-On Services (Optional)
Multi-platform clip publishing (LinkedIn, TikTok, Instagram, Reddit, Twitter, Pinterest)
Newsletter management and list building
Targeted advertising campaigns
Premium blog content creation and cross-promotion
3. Subscription Plans and Pricing
Production Plans
1 Episode/Month: $1,500/month
2 Episodes/Month: $3,000/month
3 Episodes/Month: $4,500/month
4 Episodes/Month: $6,000/month
Billing Terms
All services operate on three-month production cycles with auto-recurring billing
Payment is due at the beginning of each three-month cycle
Payments are processed automatically via Stripe
We accept credit cards and ACH/direct deposit only
All prices are in USD and exclusive of applicable taxes
Minimum Commitment
The subscription fee applies to the full three-month cycle regardless of actual production volume
Unused episodes within any month cannot be rolled over to subsequent months
No refunds for unused episodes or partial months
4. Payment Terms
Automatic Billing
Your payment method will be automatically charged at the start of each three-month cycle
You authorize us to charge your payment method for all fees incurred
If automatic payment fails, we will attempt to collect payment and may suspend services
Late Payments
Services may be suspended for non-payment
A $50 late fee may be applied to overdue accounts
Account reactivation requires payment of all outstanding balances plus any applicable fees
Price Changes
We reserve the right to modify pricing with 60 days' written notice
Price changes will take effect at your next billing cycle
Continued use of Services after price changes constitutes acceptance
5. Cancellation and Termination
Client Cancellation
To cancel, you must provide written notice at least 30 days before the start of your next three-month cycle
Notice must be sent to nathaniel@podcaststudiox.com with subject line "Cancellation Request"
Cancellation is effective at the end of your current paid cycle
No refunds for the current cycle or unused episodes
Termination by Podcast Studio X
We may terminate your account immediately if you:
Breach these Terms
Fail to pay fees when due
Use Services for illegal or harmful purposes
Violate our content policies
Engage in abusive behavior toward our team
Effect of Termination
Access to Services ends immediately upon termination
You remain responsible for all charges incurred through termination date
We will provide final deliverables for completed work
Your custom website may be deactivated unless separately maintained
6. Content and Intellectual Property
Your Content
You retain ownership of all content you provide (audio, video, ideas, materials)
You grant us a license to use your content solely to provide Services
You represent that you own or have rights to all content provided
You are responsible for obtaining necessary releases from guests and participants
Our Work Product
You own the final podcast episodes, graphics, and materials we create for you
We retain rights to our production processes, templates, and methodologies
Website design and custom elements become your property upon full payment
We may use non-confidential aspects of our work as portfolio examples
Licensed Materials
Music and other licensed content remains subject to original licensing terms
We secure appropriate licenses for materials used in your podcast
You must comply with all licensing restrictions and terms
7. Client Responsibilities
Content and Materials
Provide necessary content, materials, and information in a timely manner
Ensure all provided content is legal, accurate, and non-infringing
Obtain necessary permissions, releases, and clearances
Review and approve deliverables within reasonable timeframes
Communication and Scheduling
Participate in scheduled calls and meetings
Respond to requests for information within 5 business days
Maintain current contact information
Provide reasonable notice for scheduling changes
Equipment and Technical Requirements
Maintain recommended recording equipment in good working condition
Ensure adequate internet connectivity for remote recording
Follow our technical guidelines for audio/video quality
8. Service Standards and Limitations
Delivery Timeframes
Launch phase: 4-6 weeks from project initiation
Episode production: 5-7 business days from receipt of raw recording
Rush delivery may be available for additional fees
Quality Standards
We deliver professional-quality work meeting industry standards
Unlimited revisions for major errors or deviations from specifications
Minor preference changes may incur additional fees after initial delivery
Service Limitations
We do not provide recording services (you handle the talking)
Guest booking success depends on your industry and target guests
SEO results are not guaranteed and depend on various factors
Social media and advertising performance varies based on content and market factors
9. Warranties and Disclaimers
Limited Warranty
We warrant that Services will be performed in a professional manner
We will re-perform Services that materially fail to meet specifications
This warranty is limited to re-performance of deficient Services
Disclaimer
Services are provided "as is" without other warranties
We disclaim all warranties of merchantability, fitness for purpose, and non-infringement
We do not guarantee specific results, rankings, or performance metrics
External platform policies and algorithms are beyond our control
10. Limitation of Liability
Liability Cap
Our total liability for any claim is limited to the fees paid by you in the three months preceding the claim
This limitation applies regardless of the theory of liability
Excluded Damages
We are not liable for indirect, incidental, special, consequential, or punitive damages
This includes lost profits, business interruption, or loss of data
These exclusions apply even if we have been advised of the possibility of such damages
11. Indemnification
You agree to indemnify and hold us harmless from claims arising from:
Your breach of these Terms
Your use of Services
Content you provide to us
Your violation of any third-party rights
Your violation of applicable laws
12. Confidentiality
Mutual Confidentiality
Both parties will protect confidential information disclosed during the relationship
Confidential information includes business strategies, unreleased content, and proprietary processes
This obligation survives termination of Services
Public Use
We may publicly identify you as a client unless you object in writing
We may use non-confidential aspects of our work in marketing materials
Specific content and strategies remain confidential unless you consent to disclosure
13. Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control, including:
Natural disasters or extreme weather
Government actions or regulations
Internet or technology outages
Labor disputes or shortages
Pandemic or health emergencies
14. Dispute Resolution
Informal Resolution
Disputes should first be addressed through direct communication
Contact nathaniel@podcaststudiox.com to initiate resolution discussions
We will attempt good faith resolution within 30 days
Binding Arbitration
Unresolved disputes will be settled through binding arbitration
Arbitration will be conducted under American Arbitration Association rules
Arbitration location will be mutually agreed upon or determined by arbitrator
Each party bears their own costs unless otherwise awarded
Class Action Waiver
You waive the right to participate in class actions or representative proceedings
Claims must be brought individually
15. General Provisions
Governing Law
These Terms are governed by the laws of [Your State], without regard to conflict of law principles.
Severability
If any provision is found unenforceable, the remainder of these Terms remains in full effect.
Entire Agreement
These Terms, along with our Privacy Policy, constitute the entire agreement between the parties.
Modifications
We may modify these Terms with 30 days' notice. Continued use constitutes acceptance of modifications.
Assignment
You may not assign these Terms without our written consent. We may assign our rights and obligations.
Survival
Provisions regarding payment, intellectual property, confidentiality, indemnification, and limitation of liability survive termination.
